By accessing or using the Platform you agree to these Terms. If you are entering into these Terms on behalf of a Clinic or Brand, you confirm you have authority to bind that entity. If you do not agree, do not use the Platform.
The Platform is available exclusively to UK-based clinics and brands. You must provide accurate, current and complete information during onboarding and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under them.
We may suspend or terminate access where required to comply with regulatory obligations, where credentials are compromised, or where account activity poses risk to patient safety.
For Clinics with their own prescribers: the Clinic remains the clinical decision-maker and prescriber. PExpo provides the dispensing, pick-and-pack, dispatch, audit trail and patient-facing tracking. The Clinic pays an admin client care fee per request; the patient pays for the medication directly.
For Brands: PExpo provides the prescriber network, clinical intake, e-prescribing, pharmacy fulfilment and branded patient portal under the Brand's name and domain. Commercial terms are agreed in a separate signed contract.
You agree not to:
Clinics pay an admin client care fee per dispense request, as disclosed during onboarding. There are no monthly platform fees and no setup fees under the standard clinic plan.
Brands are charged under a commercial contract that reflects volume, fulfilment mix, prescriber utilisation and any custom development. Fees are invoiced in pounds sterling, payable within 14 days unless otherwise agreed.
Late payment may attract interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
PExpo is a technology and dispensing platform. We do not make clinical decisions on behalf of a Clinic's prescribers. For the Clinic model, clinical responsibility for prescribing remains with the prescribing clinician. For the white-label model, prescribing is performed by PExpo's UK prescriber network within the boundaries of their professional registration and clinical governance.
Nothing in these Terms transfers clinical, regulatory or professional responsibility from the relevant regulated professional to PExpo beyond what is documented in a signed clinical governance schedule.
Both parties agree to comply with applicable UK law, including the requirements of the General Pharmaceutical Council (GPhC), Medicines and Healthcare products Regulatory Agency (MHRA), and where applicable the Care Quality Commission (CQC). PExpo operates as a registered pharmacy with a named superintendent pharmacist. Clinics retain responsibility for their own CQC/GMC/NMC/GDC/GPhC registration status.
PExpo retains all rights in the Platform, including the underlying software, dashboards, APIs, content, trademarks and trade dress. Clinics and Brands retain all rights in their own brand assets, content and patient data, and grant PExpo only the licence required to operate the Services on their behalf.
Either party may terminate by written notice as set out in the relevant contract. PExpo may suspend or terminate access immediately where required to meet a regulatory obligation, where a User materially breaches these Terms, or where continued service would pose risk to patient safety. On termination, we will return or delete personal data per the signed Data Processing Agreement.
To the maximum extent permitted by law, PExpo's total aggregate liability arising out of or in connection with these Terms is capped at the fees actually paid by the relevant Clinic or Brand to PExpo in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded under English law.
Each party agrees to indemnify the other against losses arising from its own breach of these Terms, its own unlawful conduct, or — in the case of a Clinic — clinical decisions made by its prescribers, except to the extent caused by the indemnifying party's act or omission.
These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
